TECHNICAL DUE DILIGENCE

In purchasing an industrial complex or other industrial real property, a primary consideration is the valuation of the property based on its ability to provide a return of invested capital.

Certainly, it must be emphasized that in order to properly evaluate a property, one must fully consider those aspects of the property that do not produce profits, but that can generate significant costs following the purchase of the property.

Technical due diligence is a tool for examination of all of the aspects of a property and determining their relative costs. Knowledge of these costs can significantly impact the determination of the price to be paid for title to the property.

Technical due diligence takes into account the following:

For industrial plants:
  • permits for development
  • future need of decommissioning
  • presence of prohibited substances – for example, asbestos
  • visual examination of exterior and interior walls, partitions soffits, etc.
  • visual examination of attics and doing static testing is deemed necessary
  • inspection of all fixtures
  • verification of the adequacy of the electrical systems with respect to current requirements
 
 

For machinery and equipment:

  • inspection of the electrical systems and verification of grounding
  • verification of permits for waste disposal , whether solid, liquid or gaseous
  • inspection and verification of purification systems with respect to conformance to current regulations
  • inspection of stock points and production areas to find
