TEMPORARY MANAGEMENT

Within our organization we have personnel who have developed in their careers through many years of experience in responsible positions at multinational organizations of British and American ownership. We therefore have the ability to provide real assistance to investors in the management of an industrial complex in the very critical period of time immediately after purchase.

Such an acquisition by a foreign investor almost always presents very sensitive considerations regarding the future of the firm’s top managers.

Alternative possibilities are:

To leave the "pre-acquisition" top level management in charge
To put in place a new Italian top level management
To transfer foreign top level management from the parent company

Even if an investor finds a "pre-acquisition" top management of the highest competence, two things almost always occur:

There is a certain reluctance or distrust on the part of the new owners to leave the firm in the hands of the old management team
There is an almost unconscious reluctance on the part of the "pre-acquisition" management team to accept the business strategies and methods of the new owners

If an investor installs a new Italian management team, although professionally competent, the new Italian managers may either 1) tolerate certain pre-existing problems in order to take control without discord, or 2) take unreasonably adversarial positions regarding existing conditions that they see as threats to their future control, even if existing conditions are good.

If a foreign management team arrives at the facility, and particularly if the team comes from the parent company, the new management team may find that it is in sharp contrast or incompatible with some of the directors and supervisors of the firm. Often, this situation is simply due to personal misunderstandings or differences in culture and background.

Our position as "temporary management" allows us to be seen as uninvolved in existing problems, immune to internal firm politics either past or future, and free from motives to operate the firm beyond a brief period of transition.

In fact it is the general knowledge that we have a brief term of assignment that puts us in the best position to create synergy between the firm’s management team and the new owners.
